We are a fly fishing travels service provider that promotes and advertises exclusive offers at worldwide destinations. We can find you, according to your needs, special offers and deals due to buy on a special rate, high class fly fishing destinations around the world.

 

From hereinafter when these general terms of service, web site use and any document referred to within them (hereinafter collectively referred, the “TS&GC”) set out the terms on which FLY FISHING LAST MINUTE (“FOTM”, “we”, “us” or “our”) provides you and/or any third party a fly fishing booking services through our website www.lastminutebookings.com or any app we release which allows you to access the booking services we provide (hereinafter collectively referred, the “Service”).

 

Please READ CAREFULLY, before using the Service, these TS&GC due to know, understand and accept that they govern your relationship with us in respect of your use of the Service and how bookings that you wish to make with third party Lodges, Outfitters, Fly Fishing Guides, Fishing Ranches, hotels and/or Fly Fishing luxury travel operators (collectively, “Travel Providers”) are promoted and processed by FOTM.

 

If there is anything within the TS&GC that you do not understand, then please contact us at support@flyonthemove.com to discuss what this means for you. But if you do not agree with these TS&GC, please do not use the Service and or our web site and apps. By accessing this website or any of our apps, you represent that you have read these TS&GC and any of its changes and agree to be bound by them.

 

We may change the TS&GC from time to time, at any time without notice to you, by posting such changes on any of our websites and/or apps. These TS&GC set out the written terms of our contract with you for the provision of the Service. If part of these Terms of Service cannot be enforced then the remainder of these TS&GC will still apply to our relationship. Each of the paragraphs of these TS&GC operates separately. If any court or any other relevant authority decides that any of these paragraphs are unlawful or unenforceable, the remaining paragraphs will remain in full force and effect.

FLY FISHING ITALY SRLS, is the exclusive owner and operator of the website www.flyonthemove.com and all of its content (hereinafter collectively referred, the “this web site”, “our web site”, “our site”, “this site”), and any of the software applications and/or software platforms uses by FOTM, actually or in the future (hereinafter referred as, the “apps”).

 

II.- OUR SERVICE:

 

FOTM allows clients to make bookings with Travel Providers for the fly fishing trips advertised on our website and app (hereinafter referred as, “Travel Offers”). All the Travel Offers advertised and promoted by us, includes the travel items and services mentioned within it. All Travel Offers displayed on our website or app are subject to availability. We do not guarantee that any Travel Offers will remain available for any period of time. FOTM is an exclusive members’ only travel promoter / advertiser that promotes and advertises Fly Fishing Trips and/or excursions and/or services deals with Fly Fishing Travel Provider, Lodges, Guides and operators. FOTM gives you access to discounted travel rates and great offers from various third party Travel Providers, with whom you would contract with for the provision of that Fly Fishing trips.

 

2.1.- HOW DO WE PROVIDE OUR SERVICE?

 

a.- We act as an agent for the Travel Providers whose Travel Offers are featured on our website or app. This means that we act on behalf of the Travel Providers and provide a platform through which you can enter into a contract with the Travel Providers for the provision of the Travel Offers. We do not directly enter a contract with you to provide any Travel Offer you purchase, your contract for the Travel Offer is with the Travel Provider. As such, these Terms of Service govern your use of our Service but all Travel Offers you purchase will be subject to the terms and conditions displayed on the Travel Offer page, the booking conditions made available to you just before you pay for a Travel Offer through our website or app and the terms and conditions of the Travel Provider where these are made available to you during the booking process (hereinafter, referred as the “Offer T&Cs”).

 

b.- By using the Service to purchase a Travel Offer from a Travel Provider, you agree to the Offer T&Cs and you agree that you are contracting directly with the Travel Provider in relation to the Travel Offer purchased.

 

c.- While FOTM uses reasonable endeavors to carefully select the Travel Providers for whom it acts as an agent, FOTM is not responsible in any way for the provision of the Travel Offers from a Travel Provider. If, after purchasing a Travel Offer, you have any queries or concerns about the Travel Offer, please contact the Travel Provider directly.

 

d.- As your contract for the Travel Offer will be between you and the Travel Provider, we will not be in any way responsible for the delivery of the Travel Offer. As such, we do not accept any responsibility or liability for any loss you suffer as a result of availing of the Travel Offer.

 

2.2.- HOW DO YOU BOOK TRHOUGH US?

 

a.- On our web site you will find Travel Offers of many different Travel Provider around the world. Previously accepting this TS&GC, and then using the Service you can book any of the Travel Offers available. Selecting the one of your choice, we will require from you to accept the Booking Terms & Conditions, which means the specific terms and conditions that govern the relationship between you and FOTM at the moment you are purchasing our Service and booking the Travel Offer (hereinafter referred as “BTC”). If you do not agree the BTC you must not use the Service. Also, we will require from you to create your client Account (hereinafter referred, the “Account”).

 

b.- Booking any of the Travel Offer using the Service means that you accept that FOTM is a supplier of the Travel Offer provided by Travel Provided, so FOTM shall be considered and treated as the supplier of the booking service.

 

c.- When booking any of the Travel Offers we are offering you through our web site or app you consent to the transfer of your personal data to FOTM and/or its group members for the purpose of facilitating your booking and get the right to use the Service.

 

2.3.- ACCOUNT AND MEMBERSHIP

 

2.3.1.- To access the Service, you must register with us and set up an account (your “Account”).

 

2.3.2.- You may set up your Account with an email address and password or connect to the Service and create an Account using a social media account (e.g. Facebook) identified in the sign up stage.

 

2.3.3.- If you create your Account using an email and password, we encourage you to use “strong” passwords (passwords that use a combination of upper and lower case letters, numbers and symbols). You are responsible for maintaining the confidentiality of your login details and any activities that occur under your Account. If you have any concerns that your Account may have been misused, you should contact us at support@flyonthemove.com straight away to let us know.

 

2.3.4.- If you create your Account using a social media service you give us permission to access and use your information from that service as permitted by that service, and to store your log-in token for that service as set out in our Privacy Policy.

 

2.3.5.- Once you have created your Account and we have informed you of this, you become a member of FOTM (hereinafter, a “Member”).

 

2.3.6.- You must be at least 18 years of age and capable in your country of residence of entering into a legally binding agreement to become a Member.

 

2.3.7.- In the event that you breach these TS&GC, FOTM may suspend or terminate your access to the Service and your Account. If your access is suspended or terminated you must not attempt to use the Service under any other name or by using the access credentials of another person even where you have the permission of that person to do so.

 

III.- GENERAL STATEMENTS, DISCLAIMER & LIABILITY

 

3.1.- Proprietary Information: The content on the Site is the proprietary information of FOTM. The Site and its content may not be reproduced, duplicated, copied, resold or otherwise exploited for any commercial or competitive purpose not expressly permitted by FOTM. It is FOTM’s policy to terminate the use rights of anyone who violates these important prohibitions.

 

3.2.- Intellectual Property: All content on our web site and apps, such as text, graphics, logos, button icons, images and audio clips, the software used at them and the presentation and compilation of information at all of our web site, apps and platforms are protected by Italy and international copyright and trademark laws and treaties. As between you and FOTM, FOTM owns, solely and exclusively, all rights, title, and interest in and to our web site and apps, all content (including, for example, audio, photographs, illustrations, graphics, other visuals, video, copy, software, etc.), code, data, and materials thereon, the look and feel, design and organization of the web site, and the compilation of the content, code, data, and materials on the web site, including but not limited to any copyrights, trademark rights, patent rights, database rights, moral rights, sui generis, rights, and other intellectual property and proprietary rights therein. Your use of our web site, apps and platforms does not grant to you ownership of any content, code, data, or materials you may access on them.

 

3.3.- Limited License: You may access and view the content on our web site on your computer or other internet compatible device and make single copies or prints of the content on the Site for your personal, internal use only. If you make use of our web site or its content, code, data, or materials, except as otherwise provided above, you may violate copyright and other laws the Italian Government, other countries, as well as applicable state laws and may be subject to liability for such unauthorized use.

 

3.5.- User Information: In the course of your use of our web site, apps and the Service, you may be asked to provide certain personalized information to us (hereinafter referred, the “User Information”). Our information collection and use policies with respect to the privacy of such User Information are set forth in the article.

Our Liability to you: If FOTM fails to comply with these TS&GC, we will be responsible for the loss or damage you suffer that is a foreseeable result of our breach of these TS&GC or our negligence, but we will not be responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if the loss or damage was an obvious consequence of our breach or if the loss or damage was contemplated by you and us at the time we entered into the contract. The maximum loss or damage we will be responsible is limited to the booking fee you paid us when using the Service to purchase a Travel Offer to which the loss or damage you suffer relates.

Events outside our control: We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under a contract that is caused by events outside our reasonable control including (but not limited to) acts of god, fire, flood, severe weather, explosions, war (whether declared or not), acts of terrorism, industrial disputes (whether or not involving our employees), or acts of local or central Government or of any other competent authorities.

 

3.7.- Third Party Web Sites: You may be able to link from the web site to third party websites and third party websites may link to the Site (“Linked Sites”). You acknowledge and agree that we have no responsibility for the information, content, products, services, advertising, code, or other materials which may or may not be provided by or through Linked Sites, even if they are owned or run by affiliates of ours. Any reliance on the contents of a third party website is done at your own risk, and you assume all responsibilities and consequences resulting from such reliance.

 

IV.- JURISDICTION AND APPLICABLE LAW

 

These TS&GC are governed by the law of ITALY. Any claim arising out of these TS&GC will be settled by binding arbitration in accordance with the Confcommercio- Imprese per l’Italia (Confederazione Generale Italiana delle Imprese, delle Attività Professionali e del Lavoro Autonomo. The arbitration will be conducted in Florence, Italy. Either party may seek equitable relief from any court of competent jurisdiction. This provision will survive the termination of these TS&GC. These TS&GC will be governed by and in accordance with the laws of the State of—-, without regard to its conflicts of law provisions.

If any provision of these TS&GC is held to be illegal or unenforceable, that provision will be limited or eliminated to the minimum extent necessary so that these TS&GC will otherwise remain in full force and effect and enforceable. These TS&GC constitute the entire agreement between you and FOTM and supercede all proposals and other communications made between the parties, whether written or oral.

We collect this information solely to allow us to process your booking and pass it on to the relevant third parties (such as airlines, lodges, Fly Fishing operators and appropriate public authorities) as necessary to complete your travel arrangements. Comments and opinions: When you contact us directly, e.g. by email, phone, post or by completing an online form we will record your comments and opinions. We will also record comments and opinions you express when responding to surveys, entering competitions or taking part in promotions we run. We will use your comments and opinions to address your queries, issues and concerns and improve our service. We will also use comments and opinions you express (when responding to surveys, entering competitions or taking part in other promotions) to determine offers that may be of interest to you and to send you marketing communications in accordance with your marketing preferences. Payment and transaction information: We keep records of the breaks you purchase from us and the payment method you use for the transaction. We will use payment and transaction information to process payment for any break you purchase from us. (d) Purchasers of our business: personal information may be disclosed or transferred to buyers or perspective buyers of our business or any of our assets as part of any such sale.
